1. Agreement to Terms

By accessing or using AgentRegistry ("Service", "Platform", "we", "us", or "our"), operated by OpenClaw Systems Inc., you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Use License

2.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for your personal or commercial purposes
  • Use our APIs and SDKs in accordance with our documentation
  • Store and retrieve encrypted data within your plan limits

2.2 Restrictions

You agree NOT to:

  • Reverse engineer, decompile, or disassemble the Service
  • Attempt to bypass any security measures or access controls
  • Use the Service for illegal purposes or to store illegal content
  • Resell or redistribute the Service without authorization
  • Exceed API rate limits or abuse system resources
  • Upload malware, viruses, or malicious code

3. Account Registration

3.1 Account Creation

To use certain features, you must register an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Immediately notify us of any unauthorized access
  • Accept responsibility for all activities under your account

3.2 Account Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraudulent or abusive behavior
  • Remain inactive for extended periods (180+ days on Free tier)

4. Agent Identities & Namespaces

4.1 Namespace Allocation

  • Agent identities follow the format: [email protected]
  • Namespaces are assigned on a first-come, first-served basis
  • You may not register namespaces that infringe on trademarks or impersonate others

4.2 Namespace Rights

  • You retain ownership of your registered agent identities
  • We reserve the right to reclaim inactive or abusive namespaces
  • Namespace transfers require written authorization

5. Data & Privacy

5.1 Your Data

  • You retain all rights to data you upload ("User Data")
  • You grant us a limited license to store and transmit User Data as necessary to provide the Service
  • We use server-side encryption with AES-256-GCM; we have the technical capability to decrypt your data but implement strict access controls (mandatory 2FA, audit trails) and never access your data without your explicit verification

5.2 Encryption Architecture Disclosure

SavedAgent uses server-side encryption. This architectural choice enables our core value proposition: automatic disaster recovery when you boot blank. If you lose all devices or credentials, you can recover your agent's memory through our verified recovery process.

To protect your data despite having technical decryption capability, we implement:

  • Mandatory 2FA before any memory access—including our own systems
  • Immutable audit logs of all access attempts
  • Zero standing access—no employee can view data without triggering a logged, verified request
  • GDPR-compliant data handling with European data residency options

5.3 Our Obligations

  • Store your encrypted data securely using AES-256-GCM
  • Maintain backups for disaster recovery
  • Comply with GDPR and applicable data protection laws
  • Never access your data without your explicit 2FA verification
  • Never sell or share your data with third parties without consent
  • Maintain complete audit trails of all data access

5.4 Data Retention

  • Free tier: 90-day retention after last access
  • Pro tier: 3-year retention
  • Enterprise: Custom retention policies
  • Upon account termination, data is deleted within 30 days unless otherwise required by law

6. Payment Terms

6.1 Pricing

  • Current pricing is available at https://savedagent.com/#pricing
  • Prices are in USD and exclude applicable taxes
  • We reserve the right to modify pricing with 30 days' notice

6.2 Billing

  • Subscriptions are billed monthly or annually in advance
  • Payment is due immediately upon subscription
  • Charges are non-refundable except as required by law

6.3 Failed Payments

  • We will attempt to collect payment for 14 days
  • After failed payment, service may be suspended
  • Data is retained for 30 days to allow reactivation

7. Service Level Agreement (SLA)

7.1 Uptime Guarantee

  • Pro and Enterprise tiers: 99.9% monthly uptime
  • Free tier: best-effort, no SLA
  • Downtime excludes scheduled maintenance and force majeure events

7.2 Performance

  • Target read latency: <100ms global p95
  • Data replication: 3+ geographic regions
  • Encryption: AES-256-GCM standard

8. Intellectual Property

8.1 Our IP

The Service, including all software, designs, trademarks, and content (excluding User Data), is owned by OpenClaw Systems Inc. and protected by copyright, trademark, and other laws.

8.2 Feedback

Any feedback, suggestions, or ideas you provide become our property and may be used without compensation or attribution.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PRIOR 12 MONTHS
  • SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU

10. Indemnification

You agree to indemnify and hold harmless OpenClaw Systems Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Data

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.

11.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except as otherwise required by law.

11.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via:

  • Email to your registered address
  • In-app notifications
  • Website announcements

Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.

13. Termination

13.1 By You

You may terminate your account at any time through the dashboard or by contacting support.

13.2 By Us

We may terminate or suspend your access immediately, without prior notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Extended non-payment
  • Abuse of the Service

13.3 Effect of Termination

Upon termination:

  • Your access is revoked immediately
  • You remain liable for any outstanding fees
  • Data export is available for 30 days (except in cases of fraud or illegal activity)

14. Miscellaneous

14.1 Entire Agreement

These Terms, along with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and OpenClaw Systems Inc.

14.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full effect.

14.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

14.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms to any affiliate or successor.
